These Terms of Service ("Terms") govern your access to and use of Latency Host websites, client portal, and hosting services ("Services"), operated by Latency Labs LLC, a limited liability company registered in the State of Wyoming, United States ("Latency Host," "we," "us," or "our"). By creating an account or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Latency Host provides game server hosting, VPS hosting, and related infrastructure services. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, where reasonably necessary for maintenance, security, or business operations.

Service specifications, including hardware, bandwidth, storage, and uptime targets, are described on our website and in your order confirmation. We strive for 99.5% uptime but do not guarantee uninterrupted service.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Providing accurate and current registration and billing information
• Keeping contact information up to date for service and security notices

You must notify us immediately of any unauthorized access or security breach related to your account.

You agree not to use our Services to:

• Violate any applicable law, regulation, or third-party rights
• Distribute malware, conduct phishing, or launch unauthorized attacks
• Send spam, run botnets, or engage in cryptocurrency mining without authorization
• Host content that is illegal, abusive, harassing, or infringes intellectual property
• Attempt to bypass security measures or access systems without permission
• Consume excessive resources in a way that degrades service for other customers

We may investigate suspected violations and suspend or terminate Services without refund if these Terms are breached.

Fees for Services are billed in advance according to the billing cycle selected at checkout. Prices are listed in USD unless otherwise stated. You authorize us and our payment processors to charge your payment method for recurring subscriptions until cancelled.

Failure to pay may result in service suspension or termination. We offer a 3-day refund guarantee on eligible new orders as described on our website. Refunds outside this policy are at our sole discretion.

You may cancel Services at any time through the client area. Cancellation stops future billing but does not entitle you to a refund for the current billing period unless covered by our refund policy. Upon cancellation, your data may be deleted after a grace period.

You retain ownership of content hosted on your servers. You are responsible for maintaining your own backups. While we take reasonable precautions, we are not liable for data loss. We recommend regular off-site backups of critical data.

Our website, branding, control panel, and proprietary software remain the property of Latency Host. You may not copy, modify, or reverse engineer our platform except as permitted by law. Game titles, trademarks, and third-party software remain the property of their respective owners.

To the maximum extent permitted by law, Latency Host shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of the Services.

Our total liability for any claim related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless Latency Host, its officers, employees, and partners from any claims, damages, or expenses arising from your use of the Services, your content, or your violation of these Terms.

Latency Host is operated by Latency Labs LLC, a limited liability company registered in the State of Wyoming, United States. These Terms and any dispute arising from your use of the Services are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the jurisdiction of those courts.

We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or if required by law. You may terminate your account at any time. Provisions that by nature should survive termination — including payment obligations, disclaimers, and limitations of liability — will remain in effect.

We may revise these Terms at any time. Material changes will be posted on this page with an updated date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
